These terms cover the social media management service provided by DIGIZADI. By hiring us or authorising us to publish to your social media accounts, you agree to them.
DIGIZADI is a trading name of Alicia Kirungi, a sole proprietor based in Kampala, Uganda. In these terms, "we" and "us" mean DIGIZADI. "You" means the business or person hiring us.
We manage social media publishing for small businesses. Depending on what you have agreed with us, that means some or all of:
We publish only to accounts you have authorised, and only content you have approved.
You connect your TikTok and Instagram accounts through each platform's own authorisation screen. You are never asked to give us your password, and we will never ask for one. If anyone claiming to be from DIGIZADI asks for your social media password, refuse and contact us.
You confirm that you own or are authorised to manage the accounts you connect, and that you have the right to publish the content that goes on them.
You can disconnect us at any time from your TikTok or Instagram settings. Publishing stops immediately when you do.
Nothing goes out that you have not approved. Where we produce content for you, you see it before it is scheduled.
You are responsible for the accuracy of claims in your content — prices, offers, product information, availability. We write what you tell us about your business; we do not verify it.
You own the content published to your accounts. Where we produced it for you, ownership passes to you once you have paid for the work covering it.
We may show published work as an example of what we do, unless you tell us not to.
We will refuse to publish content that is unlawful under Ugandan law, that infringes someone else's copyright or trademark, that breaches TikTok's or Instagram's community guidelines, or that is designed to deceive.
Refusing this kind of content is not a breach of these terms by us, and it does not entitle you to a refund for work already done.
Fees, billing dates and scope are set out in the separate arrangement we agree with you before work starts.
If an invoice is more than 14 days overdue, we may pause publishing until it is settled. We will tell you before we do.
We publish through TikTok's and Instagram's own APIs. Those platforms decide what gets published, when, and whether it stays up. A post can be delayed, rejected or removed by the platform for reasons we do not see and cannot appeal.
We are also not responsible for how a post performs. Reach, views, engagement and follower growth are determined by platform algorithms. We can do good work and a post can still land badly.
Platforms change their rules and their APIs without notice, sometimes in ways that break an automation overnight. When that happens we will tell you promptly and fix it as quickly as we can.
We aim to publish on schedule, and we do not guarantee it. Our systems depend on internet connectivity, third-party hosting and the platforms' own availability. Where a scheduled post is missed because of something on our side, we publish it as soon as we can and tell you what happened.
Our total liability to you for any claim arising from this service is limited to the fees you paid us in the three months before the claim arose.
We are not liable for lost profits, lost business opportunities, loss of followers, or reputational harm.
Nothing here limits liability that Ugandan law does not permit us to limit.
Either of us can end this with 14 days' written notice. Work already completed is payable.
We can suspend or end the service immediately if you ask us to publish unlawful content, if your account is banned by a platform, or if payment is significantly overdue.
When our work together ends, disconnect us from your platform settings. We delete your access tokens, and your media within 90 days or sooner on request. Details are in the Privacy Policy.
We may update these terms. The date at the top will change. If a change materially affects you, we will email you at least 14 days before it takes effect.
These terms are governed by the laws of Uganda, and the courts of Uganda have jurisdiction over any dispute arising from them.
